Your Baby Club Monthly Sweepstakes OFFICIAL RULES

1. Sponsor

Fanfinders, Inc DBA YourBabyClub.com, 66 West Flagler Street, Suite 900, Miami, FL 33130.

2. Program Description

• NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. MAKING A PAYMENT OF ANY KIND WILL NOT AFFECT OR INCREASE YOUR CHANCES OF WINNING. YOU HAVE NOT YET WON. Sponsor runs monthly drawings from the eligible entries collected at Sponsor's website, YBC.com (each a "Program"). Current details about the upcoming Program, including the date upon which the drawing will take place and the specific prize to be awarded in connection with each sweepstakes are:
• Months: Monthly.
• Start Date: 03/01/2024.
• End Date: Open Ended.
• Brand Partners: May change from month to months. One (1) winner will be chosen each month for each brand partner participating in the YBC Sweepstakes.
• All Programs begin at 12:00:00 AM (EST) at the beginning of each month and end at 11:59:59 PM (EST) at the end of each month. Sponsor's method of timekeeping is the official time clock for each Program and is final and indisputable.

3. Entry into a Program

• Sponsor provides one (1) way in which you may earn an entry into a Program (each an "Entry"): Entries are made through the Sponsor website, www.YBC.com.
• All required Entry information must be completed in full to be considered valid. Proof of delivery of Entry will not be deemed as proof of Entry. LIMIT ONE ENTRY PER PERSON. Any attempted form of Entry other than as described herein is void. Entries in violation of these Official Rules will be disqualified. As determined by Sponsor any Entry that includes illegal, false, or fraudulent information, obscenities, objectionable material, or which defames or invades the publicity or privacy rights of any person, living or deceased, or otherwise infringes upon any third party's personal or proprietary rights, publicity rights, will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. For your Entry to be valid, you must acknowledge reading, accepting, and agreeing to all terms and conditions set forth in these Official Rules.
• By entering the Sweepstakes, you agree that Sponsor may use any personal information you provide or that we collect from you:
  • To administer the Sweepstakes and to fulfill the Prizes; and
  • For purposes of sharing with the Partners listed in section 2. The Partners' use of your personal information is not governed by these Rules. For more information about how each Partner manages your personal information, please visit the Partners' respective Privacy Policies. You also agree to receive recurring automated marketing messages from Your Baby Club and the Partners by email or text messages at the email and phone number provided. • BY ENTERING THE PROGRAM, YOU ACKNOWLEDGE AND AGREE THAT EVERYTHING REGARDING THE SWEEPSTAKES, INCLUDING THE ENTRY PAGES AND THE PRIZE, ARE PROVIDED "AS IS" AND THAT TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPONSOR DISCLAIMS ALL WARRANTIES AND CONDITIONS REGARDING THE PRIZE, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR OR GENERAL USE OR PURPOSE.

4. Selection of Winners

Sponsor shall conduct a random drawing to select one (1) winner for each Program (each a "Winner") from all eligible Entries received during a Program Period for such Program on the date published in Section 2 above. Each Winner shall be notified by email. Selected Winner shall be required to respond (as directed) to the notification within five (5) business days of attempted notification date. The failure to respond timely to the notification shall result in forfeiture of the Prize and, in such case, Sponsor shall randomly select an alternate Winner from among the remaining eligible entries. If an alternate Winner fails to respond to the notification, Sponsor shall repeat this process a maximum of five (5) times. In the event that all five (5) selected Winners fail to respond to the notification, the applicable Prize will be forfeited. Prize Winners shall be required to verify name and complete address and to execute before a notary public and return within five (5) days an affidavit of eligibility and liability/publicity release covering eligibility, liability, advertising, publicity and media appearance issues, unless prohibited by law. The Prize shall not be awarded until all such properly executed and notarized forms are returned to Sponsor.

5. Eligibility

• To be eligible to participate (in each case as an "Eligible Participant") in a Program, you must satisfy the following criteria: i. Be located within, and a legal resident of, one of the 50 United States or the District of Columbia. ii. Be 18 years of age or older or otherwise legally able to enter into a contract in your own name.
• The following entities or persons are disqualified from entering the Program:
  • Any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within six months prior to a Program Start Date, held employment with or performed services for Sponsor or
  • Any organizations affiliated with the sponsorship, fulfillment, administration, Prize support, advertisement or promotion of a Program; or
  • Any immediate family and household members of the foregoing individuals
• Participation constitutes full and unconditional agreement to, and acceptance of, these Official Rules. This Program is subject to, and all Eligible Participants shall comply with, all applicable federal, state and local laws and regulations. VOID WHERE PROHIBITED.

6. Prize Award

All Prizes will be delivered to the Winners within thirty (30) days from the End Date. If a Prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute a Prize with another Prize of equal or greater value. No transfer, return, or redemption for cash of any Prize. Sponsor reserves the right to replace the Prize, or any portion thereof, with a Prize of equal or greater value. It is expressly understood that the Sponsor is under no obligation to any Winner other than as expressly set forth herein. Each Winner is solely responsible for all federal, state and local taxes and fees associated with the receipt of a Prize. Should federal, state or local law impose any tax reporting or filing obligations on Sponsor arising out of the Winner's participation in the Program (including the Winner's receipt of and/or use of any Prize), the Winner agrees to timely provide Sponsor with any information that is reasonably needed for Sponsor to comply with any such reporting or filing obligations.

7. Limitations of Liability and Release

No liability or responsibility is assumed by Sponsor or resulting from any Eligible Participant's participation in or attempt to participate in the Program. Sponsor is not responsible for any typographical errors in the announcement of any Prize or these Official Rules. All online Eligible Participants must have a valid e-mail address. No liability or responsibility is assumed by Sponsor or Program Entities resulting any attempt to participate in the Program or download any information in connection with participating in the Program. No responsibility or liability is assumed by the Sponsor or Program Entities for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Program: hardware or software errors; faulty computer, telephone, television, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent to or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Sponsor website in whole or in part for any reason; traffic congestions on the Internet or the Sponsor website; unauthorized human or non-human intervention of the operation of the Program, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Program, or loss, miscount, misdirection, inaccessibility or unavailability of an account used in connection with the Program. By participating in the Program, Eligible Participants agree to release, indemnify and hold the Program Entities harmless from any and all claims, damages or liabilities arising from or relating to such Eligible Participant’s participation in the Program including, without limitation, any use or misuse of any Prize. By accepting a Prize, Winners agree to release and hold Sponsor harmless for any loss or injury including, without limitation, any personal injury or property damage resulting from participation in the Program or acceptance or use/misuse of any Prize. The Prize may be deemed compensation to a Winner and may be subject to withholding in accordance with Sponsor's payroll practices. Some jurisdictions may not allow certain limitations on damages or the ability to seek damages through a class action, so some of these restrictions may not apply to you. You further understand and agree that all rights under Section 1542 of the Civil Code of California ("Section 1542") and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. You acknowledge that Section 1542 provides that: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." Any and all guarantees and warranties and conditions for merchandise prizes are subject to the manufacturer's and/or service provider's terms and conditions, and winners agree to look solely to such manufacturers and/or service providers for any warranty, condition or guarantee claim.

8. Publicity Release

By participating in any Program and/or accepting a Prize, you hereby grant permission for Sponsor to use, without notice or further compensation, worldwide and in perpetuity, your Entry, photo, likeness, biographical information, statement and voice in any and all media for any purpose, including without limitation, advertising and Program purposes as well as in, on or in connection with the Sponsor website or the Program or other Programs, and Eligible Participant hereby release the Program Entities from any liability with respect thereto.

9. General

By participating, Eligible Participants agree to these Official Rules and Sponsor's Privacy Policy which are final and binding in all respects. Winners must comply with any and all requirements and limitations associated with the use of any Prize. Sponsor reserves the right, at its sole discretion, to cancel, modify or terminate the Program at any time for any reason or no reason. Any attempt by an Eligible Entrant or other individual to deliberately damage any website or undermine the legitimate operation of the Programs, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should any such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorneys' fees) from any such individual, to the fullest extent permitted by law, including criminal prosecution. Any Eligible Entrant engaging in any of the foregoing activities may be disqualified (and his/her entry will be void). The Programs are subject to all applicable federal, state, and local laws. All issues and questions concerning the construction, validity, interpretation and enforceability of these rules, or the rights and obligations of entrant and Sponsor in connection with the Programs, shall be governed by, and construed in accordance with, the substantive laws of the State of Colorado, without regard to conflicts of law principles. All entrants irrevocably consent to the jurisdiction and venue of the federal, state and local courts located in Denver, Colorado.

10. Winners List/Rules Request

For Winners' names (first initial, last name, city and state) or Official Rules, send a self-addressed, stamped envelope (VT residents may omit return postage) specifying "Official Rules" or "Winners List," to: Official Rules Request, Fanfinders, Inc DBA YourBabyClub.com, 66 West Flagler Street, Suite 900, Miami, FL 33130.

11. Odds of Winning

Odds of winning depend on the number of eligible entries received between the Start Date and End Date.
